AP Terms and Conditions

You must accept these terms and conditions before you will be able to use this on-line dealing tool (the “System”) for the purposes of the Authorised Participant Agreement relating to Metal Securities (an “Authorised Participant Agreement”) between WisdomTree Metal Securities Limited (“MSL”), WisdomTree Management Jersey Limited (“ManJer”) and the person who has notified MSL that you are an Authorised User for the purpose of the Authorised Participant Agreement. Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Authorised Participant Agreement

By accepting these terms and conditions and in using the System you agree that:

(a) you represent warrant and undertake to MSL and ManJer that you are authorised on behalf of your employer to access the System with the authority applicable to your authorisation level as described in the AP User Guide;

(b) you represent warrant and undertake to MSL and ManJer that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer breaches its agreement with MSL or you breach any of the conditions of your access to the System or otherwise as MSL may determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System; and

(e) you acknowledge that any Material which is delivered or made available to AP or any Authorised User regarding the System is the exclusive and confidential property of ManJer and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that AP may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings. Upon termination of you access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to MSL all copies of the Material which are in you possession or under your control, provided that AP may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in this paragraph (e).

Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Authorised Participant Agreement

By accepting these terms and conditions and in using the System you agree that: (a) you represent warrant and undertake to GBS and ManJer that you are authorised on behalf of your employer to access the System with the authority applicable to your authorisation level as described in the AP User Guide;

(b) you represent warrant and undertake to GBS and ManJer that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer breaches its agreement with GBS or you breach any of the conditions of your access to the System or otherwise as GBS may determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System; and

(e) you acknowledge that any Material which is delivered or made available to AP or any Authorised User regarding the System is the exclusive and confidential property of ManJer and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that AP may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings. Upon termination of you access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to GBS all copies of the Material which are in you possession or under your control, provided that AP may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in this paragraph (e).

CCP Terms and Conditions

You must accept these terms and conditions before you will be able to use this on-line dealing tool (the “System”) for the purposes of the Facility Agreement relating to Classic and Forward Commodity Contracts and/or the Facility Agreement relating to Short and Leveraged Commodity Contracts (each a “Facility Agreement”) between WisdomTree Commodity Securities Limited (“CSL”) and the person who has notified CSL that you are an Authorised User for the purpose of the Facility Agreements. Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Facility Agreement.

By accepting these terms and conditions and in using the System you agree that:

(a) you represent warrant and undertake to CSL and WisdomTree Management Jersey Limited (“ManJer”) that you are authorised on behalf of your employer to access the System;

(b) you represent warrant and undertake to CSL and ManJer that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer breaches its agreement with CSL or you breach any of the conditions of your access to the System or otherwise as CSL may determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System; and

(e) you acknowledge that any Material which is delivered or made available to the Commodity Contract Counterparty or any Authorised User regarding the System is the exclusive and confidential property of ManJer and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that the Commodity Contract Counterparty may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings. Upon termination of your access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to CSL all copies of the Material which are in your possession or under your control, provided that the Commodity Contract Counterparty may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in this paragraph (e). By acknowledging and/or confirming Application Orders and Redemption Orders in the System you confirm the Commodity Contract Counterparty's acceptance of the relevant Application Order or Redemption Order for the purposes of the Creation of the Equivalent Number of Commodity Contracts corresponding with the number and class of Commodity Securities to which such Application Order or Redemption Order relates.

You must accept these terms and conditions before you will be able to use this on-line dealing tool (the “System”) for the purposes of the Authorised Participant Agreement relating to Currency-Hedged Commodity Securities (each an “Authorised Participant Agreement”) between WisdomTree Hedged Commodity Securities Limited (“HCSL”), WisdomTree Management Jersey Limited (“ManJer”) and the person who has notified HCSL that you are an Authorised User for the purpose of the Authorised Participant Agreement. Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Authorised Participant Agreement

By accepting these terms and conditions and in using the System you agree that:

(a) you represent warrant and undertake to HCSL and ManJer that you are authorised on behalf of your employer to access the System with the authority applicable to your authorisation level as described in the AP User Guide;

(b) you represent warrant and undertake to HCSL and ManJer that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer breaches its agreement with HCSL or you breach any of the conditions of your access to the System or otherwise as HCSL may determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System; and

(e) you acknowledge that any Material which is delivered or made available to AP or any Authorised User regarding the System is the exclusive and confidential property of ManJer and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that AP may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings. Upon termination of you access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to HCSL all copies of the Material which are in you possession or under your control, provided that AP may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in this paragraph (e).

CCP Terms and Conditions

You must accept these terms and conditions before you will be able to use this on-line dealing tool (the “System”) for the purposes of the Facility Agreement relating to Currency-Hedged Commodity Contracts and/or the Facility Agreement relating to Currency-Hedged Commodity Securities Limited between WisdomTree Hedged Commodity Securities Limited (“HCSL”) and the person who has notified HCSL that you are an Authorised User for the purpose of the Facility Agreements. Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Facility Agreement.

By accepting these terms and conditions and in using the System you agree that:

(a) you represent warrant and undertake to HCSL and WisdomTree Management Jersey Limited (“ManJer”) that you are authorised on behalf of your employer to access the System;

(b) you represent warrant and undertake to HCSL and ManJer that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer breaches its agreement with HCSL or you breach any of the conditions of your access to the System or otherwise as HCSL may determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System; and

(e) you acknowledge that any Material which is delivered or made available to the Commodity Contract Counterparty or any Authorised User regarding the System is the exclusive and confidential property of ManJer and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that the Commodity Contract Counterparty may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings. Upon termination of your access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to HCSL all copies of the Material which are in your possession or under your control, provided that the Commodity Contract Counterparty may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in this paragraph (e). You must accept these terms and conditions before you will be able to use this on-line dealing tool (the “System”) for the purposes of the Authorised Participant Agreement relating to the ETP Securities (an “Authorised Participant Agreement”) between WisdomTree Multi Asset Issuer Public Limited Company (“WTMA”) and the person who has notified WTMA that you are an Authorised User for the purpose of the Authorised Participant Agreement. Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Authorised Participant Agreement

By accepting these terms and conditions and in using the System you agree that:

(a) you represent warrant and undertake to WTMA that you are authorised on behalf of your employer to access the System with the authority applicable to your authorisation level as described in the AP User Guide;

(b) you represent warrant and undertake to WTMA that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer breaches its agreement with WTMA or you breach any of the conditions of your access to the System or otherwise as WTMA may determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System; and

(e) you acknowledge that any Material which is delivered or made available to AP or any Authorised User regarding the System is the exclusive and confidential property of WTMA and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that AP may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings. Upon termination of you access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to WTMA all copies of the Material which are in you possession or under your control, provided that AP may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in this paragraph (e).

Swap Provider Terms and Conditions

You must accept these terms and conditions before you will be able to use this on-line dealing tool (the “System”) for the purposes of the Swap Agreement relating to Swap Transactions (a “Swap Agreement”) between WisdomTree Multi Asset Issuer Public Limited Company (“WTMA”) and the person who has notified WTMA that you are an Authorised User for the purpose of the Swap Agreement. Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Swap Agreement.

By accepting these terms and conditions and in using the System you agree that:

(a) you represent warrant and undertake to WTMA and WisdomTree Multi Asset Management Limited (the “Manager”) that you are authorised on behalf of your employer to access the System;

(b) you represent warrant and undertake to WTMA and Manager that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer breaches its agreement with WTMA or you breach any of the conditions of your access to the System or otherwise as WTMA may determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System; and

(e) you acknowledge that any Material which is delivered or made available to the Swap Provider or any Authorised User regarding the System is the exclusive and confidential property of ManJer and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that the Swap Provider may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings. Upon termination of your access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to WTMA all copies of the Material which are in your possession or under your control, provided that the Swap Provider may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in this paragraph (e). By acknowledging and/or confirming Subscription Orders and Redemption Orders in the System you confirm the Swap Provider's acceptance of the relevant Subscription Order or Redemption Order for the purposes of the upsizing or downsizing the relevant number of Index Units corresponding with the number and class of ETP Securities to which such Subscription Order or Redemption Order relates.

You must accept these terms and conditions before you will be able to use this on-line dealing tool (the “System”) for the purposes of the Authorised Participant Agreement relating to Collateralised Currency Securities (each an “Authorised Participant Agreement”) between WisdomTree Foreign Exchange Limited (“FXL”), WisdomTree Management Jersey Limited (“ManJer”) and the person who has notified FXL that you are an Authorised User for the purpose of the Authorised Participant Agreement. Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Authorised Participant Agreement

By accepting these terms and conditions and in using the System you agree that:

(a) you represent warrant and undertake to FXL and ManJer that you are authorised on behalf of your employer to access the System with the authority applicable to your authorisation level as described in the AP User Guide;

(b) you represent warrant and undertake to FXL and ManJer that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer breaches its agreement with FXL or you breach any of the conditions of your access to the System or otherwise as FXL may determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System; and

(e) you acknowledge that any Material which is delivered or made available to AP or any Authorised User regarding the System is the exclusive and confidential property of ManJer and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that AP may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings. Upon termination of you access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to FXL all copies of the Material which are in you possession or under your control, provided that AP may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in this paragraph (e).

CCP Terms and Conditions

You must accept these terms and conditions before you will be able to use this on-line dealing tool (the “System”) for the purposes of the Facility Agreement relating to Currency Transactions (each a “Facility Agreement”) between WisdomTree Foreign Exchange Limited (“FXL”) and the person who has notified FXL that you are an Authorised User for the purpose of the Facility Agreement. Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Facility Agreement.

By accepting these terms and conditions and in using the System you agree that:

(a) you represent warrant and undertake to FXL and WisdomTree Management Jersey Limited (“ManJer”) that you are authorised on behalf of your employer to access the System;

(b) you represent warrant and undertake to FXL and ManJer that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer materially breaches its agreement with FXL or you materially breach any of the conditions of your access to the System or otherwise as FXL may reasonably determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System;

(e) you acknowledge that any Material which is delivered or made available to the Currency Transaction Counterparty or any Authorised User regarding the System is the exclusive and confidential property of ManJer and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that the Currency Transaction Counterparty may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings;

(f) Upon termination of your access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to FXL all copies of the Material which are in your possession or under your control, provided that the Currency Transaction Counterparty may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in these conditions; and

(g) you acknowledge that you may be subject to such additional conditions as FXL may determine from time to time subject to providing notice to the Currency Transaction Counterparty. By acknowledging and/or confirming Application Orders and Redemption Orders in the System you confirm the Currency Transaction Counterparty's acceptance of the relevant Application Order or Redemption Order for the purposes of the Creation of the Equivalent Number of Currency Transactions corresponding with the number and class of Collateralised Currency Securities to which such Application Order or Redemption Order relates.

You must accept these terms and conditions before you will be able to use this on-line dealing tool (the “System”) for the purposes of the Authorised Participant Agreement relating to Currency Hedged Metal Securities (an “Authorised Participant Agreement”) between WisdomTree Hedged Metal Securities Limited (“HMSL”), WisdomTree Management Jersey Limited (“ManJer”) and the person who has notified HMSL that you are an Authorised User for the purpose of the Authorised Participant Agreement. Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Authorised Participant Agreement

By accepting these terms and conditions and in using the System you agree that:

(a) you represent warrant and undertake to HMSL and ManJer that you are authorised on behalf of your employer to access the System with the authority applicable to your authorisation level as described in the AP User Guide;

(b) you represent warrant and undertake to HMSL and ManJer that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer breaches its agreement with HMSL or you breach any of the conditions of your access to the System or otherwise as HMSL may determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System; and

(e) you acknowledge that any Material which is delivered or made available to AP or any Authorised User regarding the System is the exclusive and confidential property of ManJer and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that AP may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings. Upon termination of you access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to HMSL all copies of the Material which are in you possession or under your control, provided that AP may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in this paragraph (e).

FX Counterparty Terms and Conditions

You must accept these terms and conditions before you will be able to use this on-line dealing tool (the “System”) for the purposes of the Metal Adjustment Agreement relating to Metal Adjustment Contracts (each a “Metal Adjustment Contract”) between WisdomTree Hedged Metal Securities Limited (“HMSL”) and the person who has notified HMSL that you are an Authorised User for the purpose of the Metal Adjustment Agreement. Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Metal Adjustment Agreement.

By accepting these terms and conditions and in using the System you agree that:

(a) you represent warrant and undertake to HMSL and WisdomTree Management Jersey Limited (“ManJer”) that you are authorised on behalf of your employer to access the System;

(b) you represent warrant and undertake to HMSL and ManJer that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer materially breaches its agreement with HMSL or you materially breach any of the conditions of your access to the System or otherwise as HMSL may reasonably determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System;

(e) you acknowledge that any Material which is delivered or made available to the FX Counterparty or any Authorised User regarding the System is the exclusive and confidential property of ManJer and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that the FX Counterparty may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings;

(f) Upon termination of your access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to HMSL all copies of the Material which are in your possession or under your control, provided that the FX Counterparty may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in these conditions; and

(g) you acknowledge that you may be subject to such additional conditions as HMSL may determine from time to time subject to providing notice to the FX Counterparty. By acknowledging and/or confirming Application Orders and Redemption Orders in the System you confirm the FX Counterparty's acceptance of the relevant Application Order or Redemption Order for the purposes of the Creation of the equivalent number of Metal Adjustment Contracts corresponding with the number and class of Currency Hedged Metal Securities to which such Application Order or Redemption Order relates.

AP Terms and Conditions

You must accept these terms and conditions before you will be able to use this on-line dealing tool (the “System”) for the purposes of the Authorised Participant Agreement relating to WT Securities (an “Authorised Participant Agreement”) between WisdomTree Issuer X Limited (“WIXL”), WisdomTree Management Jersey Limited (“ManJer”) and the person who has notified WIXL that you are an Authorised User for the purpose of the Authorised Participant Agreement. Defined terms used in these terms and conditions and not defined herein shall have the meaning given to them in the relevant Authorised Participant Agreement

By accepting these terms and conditions and in using the System you agree that:

(a) you represent warrant and undertake to WIXL and ManJer that you are authorised on behalf of your employer to access the System with the authority applicable to your authorisation level as described in the AP User Guide;

b) you represent warrant and undertake to WIXL and ManJer that you are the person to whom the username and password used to access the System were properly issued;

(c) you acknowledge that your access to the System may be terminated at any time without notice in the event that your employer breaches its agreement with WIXL or you breach any of the conditions of your access to the System or otherwise as WIXL may determine;

(d) you agree to use reasonable efforts to prevent the transmission by you through the System of any software or file which contains any viruses, worms, harmful component or corrupted data and agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the System; and

(e) you acknowledge that any Material which is delivered or made available to AP or any Authorised User regarding the System is the exclusive and confidential property of ManJer and its suppliers and that you shall keep the Material confidential by using the same care and discretion that you use with respect to your employer's confidential property and trade secrets; provided that AP may disclose the Material if and to the extent required to do so by any law, court or regulatory agency or authority or stock exchange or in connection with any legal proceedings. Upon termination of you access to the System for any reason, you shall, provided that such documents and Materials are in a form which is capable of delivery, return to WIXL all copies of the Material which are in you possession or under your control, provided that AP may retain any automatically generated back-up copies and any back-up copy required for the purpose of, and for so long as required by, any law, court or regulatory agency or authority or stock exchange or its internal compliance and diligence procedures and policies, such back-up copies to be subject to the confidentiality requirements set out in this paragraph (e).
